Terms of Service

These Terms of Service ("Terms") govern your use of Histora, a Shopify application operated by Slate Apps Ltd (Company No. 06898498), registered at Unit 6, Fosters Business Park, Old School Road, Hook, Hampshire, RG27 9NY, United Kingdom ("we", "us", or "our").

By installing, accessing, or using Histora, you ("you" or "Merchant") agree to be bound by these Terms. If you do not agree, you must uninstall the app and stop using the service.

1. Description of Service

Histora is a Shopify application that helps merchants track and manage changes to their product catalogue. The service includes:

  • Automatic recording of product, variant, media, and pricing changes as an audit history.
  • Attribution of changes to the staff member, app, or event that triggered them.
  • Backup copies of product media (images and previews) for historical reference.
  • EU Omnibus Directive price compliance tools, including lowest-price calculation and storefront display.
  • Product editing capabilities from within the Histora interface and Shopify admin block extensions.
  • Reports and CSV exports of product and pricing change history.

We may add, modify, or remove features at any time. Where a change materially reduces the functionality available on your current plan, we will provide reasonable notice.

2. Eligibility and Access

Histora is a business-to-business tool intended for use by Shopify store owners and their authorised staff members. By using Histora, you represent that you are authorised to act on behalf of the Shopify store on which the app is installed.

Access to Histora is managed through Shopify's authentication system. You do not create a separate account with us. You are responsible for managing which staff members have access to your Shopify admin and, by extension, to Histora.

3. Billing and Payments

Histora offers subscription plans that may include a free trial period. The duration of any free trial is stated at the time of installation and may change for new installations at our discretion.

All charges, including subscription fees and usage-based charges, are processed through Shopify's standard billing APIs. We do not collect or store your payment card details. By approving a charge through Shopify, you authorise Shopify to bill you on our behalf.

Usage-based charges (where applicable to your plan) are metered and billed during all periods, including free trial periods, unless explicitly stated otherwise on your plan.

Plan pricing is displayed within the app. We reserve the right to change pricing with reasonable notice. Any subscription price change will take effect at the start of your next billing period following the notice.

3.1 Usage-Based Pricing Adjustments

Usage-based charges — including the per-audit-log rate — are tied directly to the cost of providing the service, in particular cloud infrastructure, storage, and data-processing costs. Accordingly, we reserve the right to increase or decrease the per-log usage rate at any time and at our sole discretion, in response to changes in infrastructure costs, usage patterns, supplier pricing, or other operating conditions.

We are committed to keeping usage-based pricing as low as reasonably possible and broadly in line with prevailing market rates for cloud infrastructure. Where a usage-rate change increases your costs, we will make reasonable efforts to notify you in advance through the app or by other means.

If your plan includes usage-based charges, your continued use of the app after a revised usage rate takes effect constitutes acceptance of that revised rate. If you do not agree to a revised usage rate, you may uninstall the app at any time before it takes effect.

Refunds

All charges are non-refundable. Because billing is processed through Shopify, any billing disputes should be raised with us via our contact page in the first instance. We will work with you in good faith to resolve any billing concerns.

4. Your Data

Your product data, audit history, and all other data generated through your use of Histora remains yours. We do not claim ownership of your data.

We collect, process, and store your data as described in our Privacy Policy, which forms part of these Terms. By using Histora, you consent to the data practices described in the Privacy Policy.

You are responsible for ensuring that your use of Histora complies with any applicable data protection laws in your jurisdiction, including obtaining any necessary consents from your staff members whose identity data may be collected for change attribution purposes.

5. Product Editing

Histora allows you to edit product fields directly from the app interface and from Shopify admin block extensions. When you use these features, your changes are written directly to your Shopify store via Shopify's APIs.

You are solely responsible for the edits you make through Histora. We are not liable for any consequences arising from changes you make to your products, pricing, or inventory through the app.

6. EU Omnibus Price Compliance

Histora provides tools to help you calculate and display lowest prior prices on your storefront in accordance with the EU Omnibus Directive. These tools include configurable look-back periods, multi-currency support, and a storefront theme block.

While we strive for accuracy, the lowest-price calculations are based on the data available to Histora and the settings you configure. It is your responsibility to verify that the displayed prices are correct for your specific situation, ensure compliance with the laws applicable in your jurisdiction (which may have requirements beyond what Histora provides), and seek independent legal advice regarding your compliance obligations.

Histora is not a legal service. We do not guarantee that use of the Omnibus compliance features will satisfy all regulatory requirements in your market.

7. Audit History Accuracy

Histora records product changes as they are received from Shopify via webhooks and the Shopify Events API. The accuracy and completeness of your audit history depends on Shopify delivering webhook notifications correctly and in a timely manner, the app being installed and active at the time changes occur, and your plan including tracking for the relevant data types.

We cannot guarantee that every change will be captured. Factors outside our control, such as Shopify platform outages, delayed webhooks, or API changes, may result in missed or incomplete records. Histora should be used as a tracking and insight tool, not as a legally binding audit system. Media backups are best-effort copies of image previews and thumbnails, provided for historical reference and not a substitute for a comprehensive backup solution.

8. Acceptable Use

You agree not to:

  • Reverse-engineer, decompile, or attempt to extract the source code of the app.
  • Use the app in a manner that violates Shopify's Terms of Service or any applicable law.
  • Attempt to access data belonging to other merchants or interfere with the app's infrastructure.
  • Use automated tools to scrape, overload, or abuse the app's APIs or interface.
  • Resell, sublicense, or redistribute access to Histora without our written consent.

We reserve the right to suspend or terminate your access to Histora if we reasonably believe you are in breach of these Terms.

9. Service Availability

Histora is provided on an "as available" basis. While we target high availability and work to maintain reliable service, we do not guarantee uninterrupted or error-free operation.

We may occasionally need to perform maintenance, deploy updates, or respond to issues that temporarily affect availability. Where possible, we will provide advance notice of planned maintenance. Histora depends on third-party services including Shopify and our hosting infrastructure; we are not responsible for outages or performance issues caused by these third parties.

10. Intellectual Property

All rights, title, and interest in Histora — including its code, design, branding, documentation, and user interface — are owned by Slate Apps Ltd and are protected by applicable intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable licence to use Histora for its intended purpose in connection with your Shopify store, subject to these Terms and your active subscription.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Histora is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, or goodwill.
  • We shall not be liable for any losses arising from missed or incomplete audit records, inaccurate price calculations, incorrect change attribution, or any edits made to your Shopify store through the app.
  • Our total aggregate liability for any claims arising from or related to these Terms or your use of Histora shall not exceed the total fees you have paid to us in the three (3) months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Slate Apps Ltd, its directors, officers, and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of Histora or any edits made to your store through the app; your reliance on the EU Omnibus price compliance tools for regulatory compliance; any breach of these Terms by you or anyone accessing the app through your Shopify store; and any violation of applicable laws or third-party rights in connection with your use of the app.

13. Termination

You may terminate your use of Histora at any time by uninstalling the app from your Shopify store.

We may suspend or terminate your access to Histora at any time if you breach these Terms, if required by law, or if we discontinue the service. Where reasonably possible, we will provide advance notice before termination.

Upon uninstallation, your data will be retained for a limited grace period to allow for reinstallation, after which it will be permanently deleted in accordance with our Privacy Policy. Sections 4 (Your Data), 11 (Limitation of Liability), 12 (Indemnification), and 15 (Governing Law) survive termination of these Terms.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page. Continued use of Histora after any changes constitutes acceptance of the updated Terms. For material changes that significantly affect your rights or obligations, we will make reasonable efforts to notify you through the app or by other means.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
